Terms and Conditions

 

 

1. Application of Terms

 

1.1 – These terms and conditions apply to all agreements between Stillwater Stories and the client, unless otherwise agreed in writing.

 

 

2. Scope of Services

 

2.1 – Depending on the nature of the assignment, services may include photography, videography, audio recording and editing, graphic design, photo retouching, website design, and consulting.

The client receives a final product delivered by Stillwater Stories.

 

 

3. Formation of Agreement

 

3.1 – Offers made by Stillwater Stories are valid for 14 days from the date of issue, unless otherwise stated.

3.2 – An agreement becomes binding once the client has accepted the offer, for example by written confirmation via email or SMS.

 

 

4. Liability

 

4.1 – Stillwater Stories cannot be held liable for any form of loss or damage.

4.2 – The client is responsible for creating and maintaining backups of all materials — including, but not limited to, any content sent to Stillwater Stories and the final product received.

 

 

5. Materials and Copyright

 

5.1 – Both the client and Stillwater Stories retain ownership and intellectual property rights to any materials and data in their possession prior to the agreement.

5.2 – Copyright for all materials created and produced by Stillwater Stories always remains with Stillwater Stories, unless otherwise agreed.

 

The client is granted a non-exclusive license for private use of the material.

The client may not distribute, resell, or otherwise share the material without written consent from Stillwater Stories — except for sharing on social media platforms, which is permitted.

 

 

6. Prices and Payment

 

6.1 – Services are invoiced according to the terms stated on the issued invoice, unless otherwise agreed.

Invoices are due for payment 8 days after the invoice date. Late payments will incur fees and interest from the due date until payment is received.

 

6.2 – Stillwater Stories reserves the right to change fixed prices without prior notice.

6.3 – Prices quoted to private clients include VAT.

6.4 – Any work beyond the original agreement (extra services) must be approved separately. Stillwater Stories reserves the right to charge additional fees for such services — for example, extra retouching or video editing.

6.5 – In the event of late payment, Stillwater Stories reserves the right to withhold delivery until full payment has been received.

Stillwater Stories is not obligated to deliver any services while the client remains in default of payment.

6.6 – If payment is not received and the client does not respond to reminders, the case may be forwarded to debt collection.

6.7 – Once the claim is sent to collection, the full outstanding amount becomes immediately due.

6.8 – Any out-of-pocket expenses paid by Stillwater Stories on behalf of the client must be reimbursed in full by the client.

 

 

7. Subcontractors

 

7.1 – Stillwater Stories is entitled to use subcontractors to perform any part of the assignment.

 

 

8. Transfer of Rights

 

8.1 – Neither party may transfer any rights or obligations under this agreement without the written consent of the other party.

 

 

9. Governing Law and Jurisdiction

 

9.1 – This agreement is governed by Danish law.

Any disputes arising from this agreement shall first be attempted resolved amicably.

If no resolution can be reached, the dispute shall be settled by the Copenhagen City Court, which shall have exclusive jurisdiction.

 

 

10. Complaints

 

10.1 – All services and products provided by Stillwater Stories are made to order and therefore non-refundable.

 

 

11. Changes, Remedies, and Re-Delivery

 

11.1 – In the event that Stillwater Stories is unable to attend or complete the assignment due to illness, accident, or other circumstances beyond its control, every effort will be made to find a suitable replacement.

If no replacement can be found, no compensation may be claimed, but any pre-paid amount will be fully refunded.

 

11.2 – Stillwater Stories is entitled to a reasonable extension of deadlines in cases of force majeure, delays from suppliers, extreme weather, labor disputes, government restrictions, or other circumstances beyond its control.

 

11.3 – If the client cancels the agreement, the 50% deposit paid upon booking is non-refundable.

No further payment will be required unless Stillwater Stories has already booked third-party services on behalf of the client.

 

11.4 – In case of any defects for which Stillwater Stories is responsible, the company has the right to rectify, replace, or re-deliver the product at its own discretion.

If defects remain after remediation, Stillwater Stories is entitled to one further attempt at correction.

 

11.5 – Any remediation or re-delivery shall take place within a reasonable period after the client’s complaint. A period of 21 days is always considered reasonable.

 

 

12. Force Majeure

 

12.1 – Delays or defects caused by circumstances beyond Stillwater Stories’ control — including but not limited to labor disputes, supplier failure, or lack of materials — entitle Stillwater Stories to postpone delivery or cancel the agreement without liability.

Stillwater Stories must, however, inform the client within a reasonable time.

 

12.2 – Regardless of delay or cancellation due to force majeure, Stillwater Stories is entitled to payment for all work already completed.
